These Terms govern your use of the website naduvantech.com and of the products and services of Naduvan Technologies Pvt Ltd ("Naduvan", "we", "us"), including PosyGen, DocyGen, VishGen and our WhatsApp Business messaging service (together, the "Services"). By using the Services you agree to these Terms. If you use them on behalf of a business, you confirm that you are authorised to accept these Terms for that business ("Customer").
1. Accounts
You must give accurate information and keep your login details safe. You are responsible for everything done through your account, including actions by staff you add. Tell us right away if you suspect unauthorised use.
2. Plans, fees and trials
Fees, plans and billing periods are shown in each product or in your order or quotation. Fees exclude GST and other applicable taxes unless stated otherwise. Free trials end on the stated date. If you don't pay, we may suspend paid features after giving notice. WhatsApp conversation charges set by Meta may apply on top of our fees, as shown in the product.
3. Your data
Data you or your staff put into the Services remains yours. You give us permission to host, process and send it only to provide the Services to you, as described in our Privacy Policy. You are responsible for having the rights and consents needed for the data you upload, including the personal data of your customers or patients.
4. WhatsApp Business messaging
If you connect a WhatsApp Business account to the Services:
- you must own or be authorised to use that account and phone number;
- you must follow the WhatsApp Business Terms of Service, the WhatsApp Business Messaging Policy and Meta's Commerce Policy;
- you must message only people who have given you their number and agreed to receive messages from you, and you must honour opt-out requests promptly;
- you must not send spam, illegal, misleading or harmful content, or messages for prohibited products or services;
- you are responsible for the content of your messages and templates. Meta may reject templates or limit or suspend numbers under its own policies.
We may suspend messaging for your account if we reasonably believe it breaks these rules, or if Meta tells us to.
5. Acceptable use
Do not misuse the Services. This includes trying to gain unauthorised access, disrupting or overloading them, reverse engineering them except where the law allows, using them to break any law or anyone's rights, or reselling them without our written agreement.
6. Our intellectual property
The Services, software, designs and brands (including Naduvan, PosyGen, DocyGen and VishGen) belong to Naduvan or its licensors. We give you a limited, non-exclusive, non-transferable right to use the Services during your subscription. For custom software we build for you, ownership is set out in the project agreement.
7. Availability and support
We work to keep the Services available and secure, but we do not guarantee they will be uninterrupted or error-free. Planned maintenance will be announced where practical. Support channels and hours are as stated in your plan or agreement.
8. Third-party services
The Services work with third-party services such as Meta/WhatsApp, payment gateways, delivery platforms and government GST portals. Those services have their own terms, and we are not responsible for their availability or actions.
9. Disclaimers and limitation of liability
Except as expressly stated, the Services are provided "as is". DocyGen supports doctors' documentation but does not give medical advice, and clinical decisions remain the doctor's responsibility. As far as the law allows, Naduvan is not liable for indirect, incidental or consequential losses, or for lost profits or data. Our total liability for any claim is limited to the fees you paid us for the affected Service in the 12 months before the claim.
10. Termination
You may stop using the Services at any time. We may suspend or end access if you seriously breach these Terms. After termination you may ask for an export of your data within 30 days. After that, we delete it as described in the Privacy Policy.
11. Governing law
These Terms are governed by the laws of India. The courts in Chennai, Tamil Nadu have exclusive jurisdiction.
